UHNWI Engagement Strategy
1. Introduction
Welcome to UHNWI data ("we", "our", or "us"). These Terms of Service ("Terms") govern your use of our UHNWI Engagement Strategy services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
2. Definitions
Client: Any individual or entity that enters into an agreement with UHNWI data to use the Services.
Services: The UHNWI Engagement Strategy services provided by UHNWI data, including but not limited to data mining, digital research, interviews, digital surveillance, strategy development, consultation, and reporting.
Confidential Information: Any non-public information disclosed by one party to the other in connection with the Services, including but not limited to proprietary information, trade secrets, and business strategies.
Deliverables: Any reports, profiles, strategies, or other materials created and provided to the Client as part of the Services.
3. Scope of Services
3.1 Service Description: UHNWI data provides specialized Services aimed at developing and implementing engagement strategies for Ultra-High-Net-Worth Individuals (UHNWI). The Services may include, but are not limited to, data mining, digital research, interviews, digital surveillance, strategic planning, consultation.
3.2 Customization: Services will be tailored to the specific needs of the Client as agreed upon in the Statement of Work ("SOW"). The SOW shall outline the specific Services to be provided, the timeline, and the associated costs.
3.3 Service Limitations: UHNWI data does not guarantee specific outcomes or results from the use of its Services. The Client acknowledges that the effectiveness of the Services may be influenced by factors outside of UHNWI data's control.
4. Client Responsibilities
4.1 Provision of Information: The Client agrees to provide all necessary information, documents, and cooperation required for the provision of the Services. The Client warrants that all information provided is accurate, complete, and up-to-date.
4.2 Compliance with Laws: The Client is responsible for ensuring that its use of the Services complies with all applicable laws, regulations, and industry standards.
4.3 Use of Deliverables: The Client agrees to use the Deliverables solely for the purpose specified in the SOW and in accordance with these Terms.
5. Confidentiality
5.1 Confidentiality Obligations: Both parties agree to maintain the confidentiality of all Confidential Information disclosed by the other party. Neither party shall disclose the other party's Confidential Information to any third party without prior written consent.
5.2 Exceptions: Confidential Information does not include information that is (a) publicly available, (b) already known to the receiving party at the time of disclosure, (c) independently developed by the receiving party without use of the disclosing party's Confidential Information, or (d) required to be disclosed by law.
6. Intellectual Property
6.1 Ownership: UHNWI data retains all intellectual property rights in the methodologies, processes, and tools used in providing the Services. The Client receives a limited, non-exclusive, non-transferable license to use the Deliverables solely for its internal business purposes.
6.2 Client's IP: Any intellectual property owned by the Client and provided to UHNWI data for use in connection with the Services remains the sole property of the Client.
7. Fees and Payment
7.1 Fees: The Client agrees to pay the fees specified in the SOW. All fees are non-refundable unless otherwise agreed upon in writing.
7.2 Payment Terms: The Client agrees to make payment online at the time of order placement through the company's website. The payment secures the number of hours the Client wishes to retain UHNWI data for the execution of the services.
7.3 Taxes: The Client is responsible for all applicable taxes, including VAT, GST, sales tax, or other similar taxes imposed by any jurisdiction.
7.4 Refund policy: In the event of early termination of this agreement, any funds paid for previously rendered hours shall be non-refundable.
8. Warranties and Disclaimers
8.1 No Warranty: The Services are provided "as is" and "as available." UHNWI data makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
8.2 Disclaimer of Liability: To the fullest extent permitted by law, UHNWI data shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or use, arising out of or related to the Services.
9. Indemnification
The Client agrees to indemnify, defend, and hold harmless UHNWI data, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to the Client's use of the Services, violation of these Terms, or infringement of any intellectual property or other rights of a third party.
10. Term and Termination
10.1 Term: These Terms shall commence on the date the Client first uses the Services and shall continue until terminated as provided herein.
10.2 Termination for Convenience: Either party may terminate the Services at any time upon 5 business days' written notice to the other party.
10.3 Termination for Cause: Either party may terminate the Services immediately upon written notice if the other party (a) materially breaches these Terms and fails to cure such breach within 10 days of receiving notice thereof, or (b) becomes insolvent, files for bankruptcy, or is otherwise unable to meet its financial obligations.
10.4 Effect of Termination: Upon termination of the Services, the Client shall pay all outstanding fees for Services rendered up to the date of termination. The provisions of Sections 5 (Confidentiality), 6 (Intellectual Property), 7 (Fees and Payment), 8 (Warranties and Disclaimers), and 9 (Indemnification) shall survive termination.
11. Dispute Resolution
11.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.
11.2 Arbitration: Any dispute arising out of or related to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in New York, NY, and the award shall be final and binding on both parties.
11.3 Equitable Relief: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights.
12. Miscellaneous
12.1 Amendments: UHNWI data may amend these Terms at any time by providing written notice to the Client. Continued use of the Services after such notice constitutes acceptance of the amended Terms.
12.2 Entire Agreement: These Terms, together with the SOW and any other documents referenced herein, constitute the entire agreement between the parties and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
12.3 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.4 Assignment: The Client may not assign or transfer its rights or obligations under these Terms without the prior written consent of UHNWI data. Any attempted assignment in violation of this provision shall be null and void.
12.5 Force Majeure: UHNWI data shall not be liable for any failure or delay in the performance of its obligations under these Terms due to causes beyond its reasonable control, including, but not limited to, acts of God, natural disasters, war, terrorism, labor disputes, or governmental actions.
