1. Operator, Scope and Acceptance
These Terms of Service govern the UHNWI Data websites, customer Account and the research, database-development, wealth-intelligence, UHNWI Network and related Data products expressly purchased in an Order. They do not govern purchases made through the separate UHNWI Direct service, which has its own Terms of Service.
UHNWI Data is the service provider. “We,” “us” and “our” mean UHNWI Data. “Customer,” “you” and “your” mean the business, organisation, professional or authorised representative purchasing or using the applicable Data Services.
Our address for legal notices is: UHNWI Data 55 Broadway New York, NY 10006 United States Our legal notice email is legal@uhnwidata.com.
By expressly accepting these Terms when placing an Order or purchasing additional Services, the Customer agrees to this version and the applicable Order Confirmation and Service Schedule. The Privacy Policy and Cookie Policy describe data practices; acknowledging a notice is not itself consent to optional processing.
Each Order identifies the purchased service, scope, fees, payment stages and any applicable licence or access conditions. Purchase of one service does not purchase another service or apply another service’s rules by default. The service-specific Network terms are in Schedule A and Database development terms are in Schedule B. Other Data services are supplied for the conditions expressly offered and accepted in their Order and applicable Service Schedule or licence. A future service is not included merely because it is mentioned on the website.
If the Customer does not agree to these Terms, it must not place an Order or use the purchased Services. A draft, quotation or candidate review is not a confirmed paid Order.
2. Business and Professional Use
The Services are offered exclusively for business, commercial, professional, entrepreneurial, institutional, investment, charitable or organisational purposes. They are not offered for personal, family or household use.
By accepting these Terms, the Customer represents and warrants that it is acting in the course of a trade, business, profession or organisational activity; that it is not contracting as a consumer; that the individual accepting these Terms is at least eighteen years old; and that such individual has full authority to bind the Customer identified in the Order.
Where an individual creates an Account or places an Order on behalf of a company or other organisation, that individual represents that the organisation has authorised the transaction. If the individual lacks sufficient authority, the individual may be personally responsible for obligations arising from the unauthorised Order to the extent permitted by law.
We may request reasonable evidence of company identity, authority, beneficial ownership, billing information, regulatory status or intended use before accepting or performing an Order. We may decline, suspend or cancel an Order if satisfactory information is not provided.
3. Definitions
An “Account” is the authenticated UHNWI Data customer environment for Orders, projects, payments, research results, applicable licences and support.
An “Order” is a purchase submitted through the website, Account, approved payment link, invoice, written agreement or other approved ordering method. An “Order Confirmation” is its electronic or written record identifying the purchased service, scope, quantities, fees, estimated duration, payment stages and additional accepted conditions.
The “Services” are the specific UHNWI Data research, database-development, wealth-intelligence, relationship-mapping, Account and related functions identified in the accepted Order. A “Service Schedule” contains the service-specific terms expressly applicable to that Order. A schedule for one service does not apply to an unrelated service.
“Customer Materials” means instructions, text, files, contact lists, company information, images, links or other materials supplied or authorised by the Customer for the Services. “Research Results” means the scoped reports, profiles, mappings, datasets or other outputs expressly included in the Order; it does not mean unrestricted access to the underlying database.
Research fee, Success fee, Network Size, the central person (Ego) and the Network cancellation window have the meanings given in Schedule A for a UHNWI Network order. Those fee rates and cancellation rules are not defaults for every Data product.
4. Orders and Agreed Scope
The Customer must review the selected service, research instructions, quantity, fees, payment stages, applicable terms and business-use declaration before submitting an Order. The Order Confirmation identifies the agreed scope and any service-specific licence or access conditions.
A pending checkout, saved draft, quotation or candidate review is not confirmed payment or an instruction that all research has begun. An Order proceeds under its stated acceptance and payment conditions; activation and research start occur when the conditions for that service are satisfied. For Network, the express project-manager start in Schedule A applies.
Material changes, additional research, an expanded scope or a different licence require an expressly agreed variation or separate Order. A preliminary estimate, informal discussion or general website example does not silently change a paid Order. If an obvious technical or pricing error is identified, we will explain it and seek an agreed correction or cancel and refund the affected unperformed purchase, subject to applicable rights; we will not silently add a charge.
5. Nature and Standard of Research
UHNWI Data supplies the research, database and intelligence functions described in the purchased service. The scope, source coverage, verification or review criteria, output format and estimated timing follow the Order and applicable Service Schedule. We will perform the agreed work with reasonable care.
Research may include sourced facts, estimates, classifications and analytical assessments. These must be considered in their source, date and context. We do not promise that all information is complete, current, uncontested or suitable for every downstream decision. An example, historical result or preliminary quantity is not an assurance of the same future result.
Unless expressly included in an Order, the Services do not purchase an introduction, personal access, a response, influence, a transaction, an investment result or another commercial outcome. UHNWI Data is not the Customer’s legal, investment, financial, tax or regulatory adviser. The Customer remains responsible for its own decisions and lawful use of Research Results.
An apparent error may be reported through the relevant project or support channel with sufficient detail to identify the affected result. We review substantiated correction requests against available evidence and applicable rights. This does not reduce an express verification, delivery or remedy commitment in the accepted service terms.
6. Fees, Taxes and Payment
Fees and payment milestones are those displayed and expressly accepted in the applicable Order. UHNWI Network uses the separate Research fee and Success fee in Schedule A. Other Data products follow their own accepted payment and licence terms; the Network model does not apply by default.
Payment may be made through a card, approved bank transfer, invoice or another method made available by UHNWI Data. The Customer must be authorised to use the payment method. A transfer must include the required payment reference; the Customer bears disclosed bank and currency-conversion charges so that the invoiced amount is received.
Unless stated otherwise, prices are in United States dollars and exclude applicable VAT, sales tax, duties or similar governmental charges. The Customer is responsible for taxes arising from its purchase, excluding taxes on UHNWI Data’s net income. Any legally required withholding and supporting evidence must be addressed in accordance with applicable law and the invoice.
Payment is confirmed only when funds are received or verified by the relevant payment provider. An authorisation or pending bank transfer is not completed payment. We may withhold activation or access for an unpaid or disputed purchase, subject to the applicable Order. Payment does not itself satisfy a separate research-start or release condition.
No undisclosed fee, expanded scope or automatic cross-service purchase is authorised by the Customer’s Account or a previous Order.
7. Cancellation and Refunds
Cancellation rights and refundable amounts follow the express terms for the purchased service. Network has the self-service cancellation window, full Research fee refund and no retained Success fee described in Schedule A. An eligible Network cancellation does not require discretionary approval.
For a Data service without an express self-service cancellation right, contact us promptly before work begins. We will review the stage of performance and any cancellation we agree. A deduction must relate to work performed or documented, non-recoverable costs and be explained. This does not limit an express cancellation or refund commitment.
Disappointment with a downstream business outcome does not alone establish that the agreed Services were not performed. Equally, a general disclaimer does not permit retention of fees for an objectively unperformed service. If we cannot provide an unperformed paid portion after reasonable efforts to remedy the problem, we will agree substitute performance or a credit with the Customer, or refund that unperformed portion. A credit or materially different service will not be imposed instead of an otherwise due refund.
Refunds normally use the original payment method where supported. Processing and provider-confirmed completion are distinct; bank or provider posting times may apply. Incorrect or duplicate charges and non-waivable remedies remain separate from ordinary change-of-mind cancellation. A refund does not erase payment, service or dispute records that we may lawfully retain.
8. Payment Disputes
If a charge appears incorrect, duplicated or inconsistent with an accepted refund commitment, use the relevant project or support channel so that we can investigate and provide the payment and service records. This does not require our permission to exercise a statutory or payment-network right.
A payment reversal does not by itself establish that an Order has been cancelled under its service terms. We may pause the affected unpaid or disputed project or access while investigating, where justified and permitted, and explain the required next steps. For an eligible Network cancellation, the Research-stage action described in Schedule A applies.
We may provide the accepted terms, Order, performance, notification, payment and refund evidence to the payment provider or other lawful dispute-resolution recipient. This is evidence for review, not a guarantee that a dispute will be resolved in either party’s favour. No provision removes a non-waivable statutory or card-network right.
9. Customer Responsibilities and Lawful Use
The Customer must have authority to enter into the Order, provide accurate instructions and Account information, and obtain the rights and lawful basis needed to supply Customer Materials and use Research Results. It must comply with applicable laws, professional obligations and any sector-specific restrictions relevant to its activities.
The Customer must not use the Services for harassment, stalking, unlawful surveillance, discrimination, fraud, deception or another unlawful purpose, or misrepresent an affiliation, endorsement, relationship or authority. It must not bypass scope or access controls, use another customer’s private information or submit materials it is not authorised to provide.
The Customer is responsible for appropriate security, restricting access to authorised users and any lawful downstream processing or disclosure of information it receives. It must notify UHNWI Data promptly of an incident that materially affects the Services, supplied materials or personal data obtained through the Services. Our research does not replace independent legal or professional advice.
10. Privacy and Personal Data
The UHNWI Data Privacy Policy describes our research, platform and customer-data practices. UHNWI Data acts independently in maintaining its research database and determining its own service and security operations. Any processing undertaken on the Customer’s behalf follows the applicable processing terms; legally required data-processing arrangements must be in place where relevant.
The Customer must have authority and a lawful basis to upload or connect contact data and provide required notices. Private customer contact imports and matching annotations remain account-scoped and are not reused as shared Network research or another customer’s data. Provider permissions, retention, deletion and individual rights follow the Privacy Policy and applicable terms.
A purchase does not confer ownership of personal data, provide a blanket lawful basis for downstream use or bind a research subject to the Customer’s contract. Research retention and contractual confidentiality remain subject to applicable data-protection rights and legal obligations. Privacy requests may be sent to privacy@uhnwidata.com.
11. Confidentiality
Each party must protect the other party’s non-public business information, Customer Materials, restricted Research Results and service information disclosed in connection with an Order. It may use that information only for performing or receiving the agreed Services and disclose it only to authorised persons with an appropriate need to know and confidentiality obligation.
This obligation does not cover information lawfully public without breach, independently developed, already lawfully known or lawfully received from another source without a confidentiality restriction. Required disclosures to a court, regulator, payment provider or other legally entitled recipient remain permitted, subject to appropriate limits and notice where lawful.
Confidential treatment of private Customer Materials does not make UHNWI Data’s shared research exclusive to that Customer. Network research reuse and the separation of private contact-matching data are governed by Schedule A and the Privacy Policy. Confidentiality obligations survive the end of the service where the information remains confidential.
12. Intellectual Property and Service Licences
UHNWI Data or its licensors retain their applicable rights in the Data names, websites, software, interfaces, original research, analysis, selection and arrangement, database compilation, taxonomies, reports and documentation. No ownership is transferred merely by paying for research or providing input.
Subject to payment and compliance, the Customer receives the limited, non-exclusive and non-transferable access or use rights expressly included in its Order and Service Schedule. Any access period, permitted export, internal use, update entitlement or other licence condition follows that accepted purchase. Account access is not an unrestricted database or cross-service licence.
Unless expressly authorised, the Customer may not scrape, bulk extract, mirror, republish, redistribute, resell or sublicense restricted results, bypass scope controls, or create a competing research product from the Services. Any non-waivable right remains unaffected. Network has the more specific access and ownership provisions in Schedule A.
These provisions do not claim ownership of underlying facts as such, third-party materials, Customer Materials or a person’s personal data. The Customer retains its applicable rights in its supplied materials and permits us to use them only as needed for the agreed Services and lawful administration, subject to the privacy and confidentiality terms. Third-party rights and applicable law remain controlling.
13. Third-Party Services
The Services may use hosting, payment, research-source, software, identity and optional integration providers. The Customer must have authority to connect a third-party account and respect its applicable permissions and terms. Optional integrations are provided only where included and supported by the purchased service.
Third-party availability, source changes, payment posting or a provider restriction may affect an estimate or functionality. We will address a material effect on an agreed service through the project. Reliance on a provider does not remove our express performance or refund obligations or a remedy that cannot lawfully be excluded.
14. Suspension and Termination
UHNWI Data may restrict affected access or suspend or terminate an Order for non-payment, a material breach, unauthorised extraction or disclosure, fraud, harmful interference with systems, unlawful use, material security risk or failure to provide information reasonably required for performance. Where appropriate and practicable, we will explain the issue and allow an opportunity to remedy it; this is not required for serious or urgent harm.
Account restriction, order cancellation and the status of the underlying research database are separate matters. A service-specific paid entitlement, cancellation right or refund obligation is not silently removed by a general access restriction. If continuing an unperformed service becomes unlawful, impossible or unsafe, we will notify the Customer where permitted and address the unperformed portion under Section 7.
Termination does not remove accrued payment or other obligations, nor the rights and duties intended to survive it. Network order cancellation and retention of shared research follow Schedule A. Privacy, lawful deletion, confidentiality and non-waivable rights remain applicable.
15. Disclaimers and Research Limitations
To the maximum extent permitted by law, the Services are supplied on an as-available basis without an implied warranty of uninterrupted or error-free availability, fitness for every purpose or commercial success. Information may become incomplete or outdated, and classifications or assessments require contextual judgement.
We do not guarantee a particular transaction, response, introduction, investment result or other downstream outcome. The Customer must independently assess the relevance, lawful use and suitability of the purchased Services and results. UHNWI Data does not act as its legal, financial, investment, tax or regulatory adviser.
These disclaimers do not reduce our reasonable-care obligation, express Order commitments, the Network cancellation/refund terms or any other remedy that cannot lawfully be excluded.
16. Limitation of Liability
To the maximum extent permitted by applicable law, neither UHNWI Data nor its affiliates, officers, employees, contractors or suppliers is liable for indirect, incidental, consequential, special, exemplary or punitive loss, or loss of profit, revenue, opportunity, anticipated savings, goodwill, reputation or commercial advantage arising from the Services.
To that extent, UHNWI Data’s aggregate liability arising from a particular Order will not exceed the net fees actually paid to it for that affected Order, excluding taxes, bank or payment-provider charges and fees for other Orders. If a claim concerns the platform generally and cannot reasonably be allocated to an Order, the aggregate cap is the net fees paid by the Customer during the three months immediately before the event giving rise to the claim.
The limitations apply regardless of the legal basis asserted and whether the possibility of loss was known. No claim may be commenced more than twelve months after the Customer knew or reasonably should have known of its material facts, only to the extent such a contractual period is permitted by applicable law.
Nothing excludes fraud, wilful misconduct, gross negligence to the extent it cannot lawfully be excluded, mandatory data-protection rights, access to a regulator, or any liability or remedy that is non-waivable. A fee cap does not remove an express refund obligation or the obligation to remedy an objectively unperformed service.
17. Customer Indemnification
The Customer will indemnify UHNWI Data and its relevant personnel against a third-party claim and reasonable resulting costs to the extent attributable to the Customer’s unlawful materials, infringement, unauthorised disclosure, unlawful use of Research Results or material breach of its obligations under these Terms.
We will provide reasonable notice and cooperation where practicable. The Customer may not settle a covered claim in a way that admits wrongdoing by UHNWI Data, imposes an obligation on it or fails to release it without prior written consent. UHNWI Data may take reasonable steps to protect its own interests.
This indemnity does not transfer responsibility for losses caused by UHNWI Data’s own breach, negligence, wilful misconduct or other responsibility that cannot lawfully be transferred.
18. Force Majeure and Operational Events
We are not liable, to the extent permitted by law, for a delay or interruption caused by events beyond reasonable control, including material internet, cloud, payment or banking failures, cyberattack, natural disaster, war, sanctions, governmental action or a legally required restriction.
We may take reasonable protective measures, explain a material effect on the project and revise an affected estimated performance schedule. An operational delay does not itself change the recorded Network research start or its exact cancellation deadline. If an unperformed portion becomes permanently impossible, Section 7 applies. An interruption does not erase express refund or other non-waivable obligations.
19. Governing Law and Dispute Resolution
These Terms, every Order, any contractual or non-contractual dispute arising out of or relating to the Services, website, Account, Customer Materials, payment, performance, suspension, termination, privacy, data use or relationship between the parties shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to any conflict-of-laws rule that would require application of another jurisdiction’s law.
The arbitration agreement in this Section is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq., to the fullest extent applicable. New York law otherwise governs the substance of the dispute.
19.1 Notice of Dispute and Informal Resolution
Before commencing arbitration, the party asserting a dispute must deliver a written Notice of Dispute describing in reasonable detail the identity and contact information of the claimant; the relevant Account, Order, invoice, payment or project; the material facts giving rise to the dispute; the contractual or legal basis of the claim; the specific relief requested; the monetary amount claimed where applicable; and supporting documentation reasonably available to the claimant.
A Notice of Dispute addressed to UHNWI Data must be sent both by email to:
and by nationally recognised overnight courier, certified mail or registered mail to:
UHNWI Data 55 Broadway New York, NY 10006 United States
The parties shall attempt in good faith to resolve the dispute for thirty calendar days after receipt of a complete Notice of Dispute.
Neither party may commence arbitration before expiration of that period, except where immediate provisional or injunctive relief is reasonably necessary to protect confidential information, intellectual property, data security, payment rights, systems, evidence or another interest that may suffer irreparable harm.
A notice that does not contain sufficient information to identify and evaluate the claim does not begin the thirty-day resolution period.
19.2 Binding Arbitration
Any dispute, controversy or claim arising out of or relating to these Terms, the Privacy Policy, an Order, the Services, Customer Materials, research scope, performance, payment, refund, suspension, termination, data processing, confidentiality or the parties’ relationship, including a dispute concerning the existence, formation, validity, scope, interpretation, applicability, enforceability or breach of these Terms or this arbitration agreement, shall be finally resolved through binding arbitration rather than in court.
If, when the arbitration is commenced, all parties are organised, domiciled and principally based in the United States, the arbitration shall be administered by the American Arbitration Association under its Commercial Arbitration Rules and Mediation Procedures then in effect.
If, when the arbitration is commenced, any party is organised, domiciled or has its principal place of business outside the United States, the arbitration shall be administered by the International Centre for Dispute Resolution under its International Arbitration Rules then in effect.
Where the applicable institutional rules conflict with this Section, this Section controls to the fullest extent permitted by those rules and applicable law.
19.3 Seat, Language and Arbitrator
The legal seat and place of arbitration shall be:
New York, New York, United States.
The arbitration shall be conducted in English.
The tribunal shall consist of one neutral arbitrator unless the parties expressly agree in writing to three arbitrators or the applicable institutional rules mandatorily require otherwise.
The arbitrator should have substantial experience in commercial contracts, technology-enabled services, digital communications, data services or business-to-business disputes.
Hearings may be conducted remotely by video conference, based solely on written submissions or in person in New York, as determined by the arbitrator after considering proportionality, cost, amount in dispute and procedural fairness.
19.4 Authority of the Arbitrator
The arbitrator shall have exclusive authority to determine disputes concerning the interpretation, applicability, scope, formation or enforceability of these Terms and this arbitration provision, except that a court of competent jurisdiction shall determine any dispute concerning the enforceability of the class-action, collective-action or representative-action waiver below.
The arbitrator may grant only relief available to the individual party under these Terms and applicable law and shall remain bound by the disclaimers, exclusions, limitation-of-liability provisions, contractual time limits, refund provisions and agreed risk allocations in these Terms to the fullest extent permitted by law.
The arbitrator shall issue a written, reasoned award identifying the material findings and conclusions on which the award is based.
The award is final and binding. Judgment upon the award may be entered and enforced by any court having jurisdiction.
19.5 Individual Proceedings Only
Every claim must be brought solely in the individual capacity of the party asserting it.
Neither party may bring, maintain, participate in or seek relief through a class, collective, consolidated, representative, coordinated, mass or private-attorney-general proceeding.
The arbitrator has no authority to combine claims involving different Customers or Accounts, consolidate separate arbitrations without the written agreement of all affected parties, conduct class or mass arbitration, or grant relief for or against a person or entity that is not individually a party to the arbitration.
If a final judicial decision determines that a particular claim cannot lawfully be made subject to this individual-proceeding requirement, only that claim shall proceed before the competent court, while all arbitrable claims remain subject to arbitration.
19.6 Waiver of Jury Trial
To the fullest extent permitted by law, UHNWI Data and the Customer knowingly and irrevocably waive any right to trial by jury in relation to a dispute covered by these Terms.
19.7 Limited Court Proceedings
Notwithstanding the arbitration requirement, either party may apply to the state or federal courts located in New York County, New York, solely for temporary, preliminary or emergency injunctive relief; protection of confidential information or intellectual property; prevention of unauthorised access, scraping, extraction, disclosure or misuse of restricted Research Results; preservation of evidence or assets; enforcement of payment obligations where arbitration is not yet practicable; enforcement, confirmation, modification or vacation of an arbitral award; or an order compelling arbitration.
For those limited purposes, each party irrevocably submits to the exclusive personal jurisdiction of the state courts located in New York County, New York, and the United States District Court for the Southern District of New York.
Seeking such relief does not waive the right or obligation to arbitrate the merits of the dispute.
19.8 Confidentiality of Proceedings
The existence of the arbitration, Notice of Dispute, pleadings, evidence, documents, testimony, hearings, submissions, settlement discussions, interim decisions and final award shall be kept confidential except to the extent disclosure is reasonably necessary to conduct or defend the proceeding, obtain professional advice, comply with applicable law, enforce or challenge an award, protect a legal right, or make a required disclosure to a regulator, auditor, insurer, investor or financing source subject to an appropriate confidentiality obligation.
The arbitrator may enter additional confidentiality and protective orders.
19.9 Fees and Costs
The institution’s filing, administrative and arbitrator fees shall initially be paid as required by the applicable AAA or ICDR rules and may be reallocated in the final award.
Except where these Terms or applicable law expressly provide otherwise, each party bears its own legal fees and internal costs.
The arbitrator may award reasonable legal fees, collection costs, chargeback expenses, enforcement costs and other costs where authorised by these Terms, applicable law or the applicable arbitration rules.
19.10 Survival and Severability
This arbitration agreement survives payment, service completion, Account closure, suspension, cancellation, termination, insolvency, assignment and the end of the parties’ commercial relationship.
If any part of this Section is held unenforceable, that part shall be modified or severed to the minimum extent necessary while preserving the parties’ intention to resolve disputes through confidential individual arbitration.
19.11 Mandatory rights
This dispute-resolution provision governs the commercial agreement with the Customer. It does not bind a research subject merely because information about them appears in our database, prevent a complaint to a supervisory authority, displace mandatory data-protection law, or restrict access to a court where that right cannot lawfully be waived.
20. Notices
Ordinary operational, Account, project, research-start, cancellation-deadline, invoice, payment and service communications may be delivered through the Account or its associated email. For Network, the private project start and cancellation-deadline notice described in Schedule A applies. Marketing preferences do not disable essential security, service or payment notices.
Formal legal notices to UHNWI Data, including a Notice of Dispute, breach notice or notice preceding arbitration, must be sent both to legal@uhnwidata.com and by nationally recognised overnight courier, certified or registered mail to: UHNWI Data 55 Broadway New York, NY 10006 United States.
A formal notice is effective on confirmed receipt at the required email and physical addresses, or on recorded refusal of delivery. Formal notices to the Customer may use the legal, billing or administrative email and available business address in its Order or Account. The Customer must keep these details current. An arbitration demand must additionally be filed in accordance with the applicable institutional rules in Section 19.
21. General Provisions
The Order Confirmation and any signed service-specific agreement prevail over these Terms only to the extent of an express conflict. These Terms prevail over general website descriptions, informal messages, sales conversations, examples or promotional materials.
The Privacy Policy governs the processing of personal data. A specific data-processing agreement, where executed, prevails for the processing expressly covered by that agreement.
These Terms and the incorporated documents constitute the entire agreement concerning the Services and replace prior discussions, negotiations and representations concerning the same subject matter.
The parties are independent contractors. Nothing in these Terms creates a partnership, employment relationship, fiduciary relationship, joint venture or general agency.
The Customer may not assign, transfer, subcontract or resell an Order, service entitlement, Account or right under these Terms without UHNWI Data’s prior written consent.
UHNWI Data may assign these Terms in connection with a merger, financing, restructuring, reorganisation, sale of business, transfer of assets or engagement of an affiliate.
A failure or delay in enforcing a right is not a waiver. A waiver must be express and applies only to the specific circumstance for which it is given.
If a provision is held invalid or unenforceable, it shall be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its commercial purpose. The remaining provisions continue in effect.
Unless expressly stated, a person who is not a contracting party has no right to enforce these Terms. This does not limit a research subject’s mandatory data-protection rights or other rights arising independently under applicable law.
The English-language version of these Terms controls. Any translation is provided solely for convenience.
Electronic acceptance, payment records, Account activity, click-wrap acceptance, electronic signatures and digital Order Confirmations have the same effect as written originals to the extent permitted by law.
UHNWI Data may update these Terms for future Orders. The version accepted at the time an Order is submitted governs that Order unless the Customer expressly accepts an updated version or a change is required by law, security requirements or a material service-provider restriction.
Sections that by their nature are intended to continue after completion or termination, including payment, refunds, confidentiality, intellectual property, privacy, limitation of liability, indemnification, arbitration, notices and accrued rights, survive accordingly.
22. Contact
Questions about the Services or these Terms may be submitted through the Contact page or the relevant project in the Account.

Schedule A. UHNWI Network Research Service
A.1 Service and scope
UHNWI Network is UHNWI Data’s business and professional relationship-research service. It researches and presents people, organisations, relationships and supporting context around a selected billionaire or centimillionaire (the central person or Ego). It does not itself purchase introductions, personal access or another Data service.
Network Size means the requested number of unique additional people around Ego, currently between 1 and 1,000. Ego, company nodes and relationship lines are not additional billable people. Results may include direct and indirect connections. A candidate review or approval is not an order, payment, research start or promise of a particular result.
This Schedule governs Network-specific scope, fees, cancellation, refunds and access and prevails over inconsistent general wording in these Terms on those subjects. Another Data service’s operational rules do not apply to a Network order by default. The remaining general provisions apply where relevant, including business use, privacy, confidentiality, lawful use, payment disputes, limitations subject to mandatory rights, notices and dispute resolution.
A.2 Research standard and shortfall risk
We will perform the agreed research with reasonable care, review supporting sources and distinguish documented relationships from assessments and unassessed information. A relationship, role, strength score or path is contextual research, not a guarantee of current intimacy, reciprocal trust, influence, endorsement, availability, an introduction or a commercial outcome. Information and circumstances can change.
Network Size is a research target, not a guaranteed minimum result. UHNWI networks are typically extensive, but an exceptionally private, isolated or opaque network may yield substantially fewer confirmable people. The Customer chooses the central person and expressly accepts this shortfall risk. A shortfall alone does not establish that the agreed research work was not performed and, after the cancellation deadline, does not by itself entitle the Customer to a Research fee refund. This does not excuse failure to perform the agreed work with reasonable care or remove a remedy required by applicable law.
A.3 Research fee and Success fee
Unless a different rate is expressly stated and accepted in the Order Confirmation, the Research fee is US$7.50 multiplied by the requested Network Size, payable before research begins. It pays for the agreed research work and is a separate fee, not a deposit credited against the Success fee.
The Success fee is US$7.50 multiplied by the confirmed additional people included in the completed order, capped at the requested Network Size. It applies to every confirmed billable person regardless of the proportion of the target achieved. There is no minimum-volume threshold and the Research fee is not deducted. Companies and relationship lines do not attract a separate person fee.
The estimated total at full delivery is US$15 per requested additional person. The final total is the Research fee plus the Success fee for the confirmed billable result, with applicable taxes or other expressly accepted charges treated as stated at checkout. The completed count and Success fee are shown in My projects before Success fee payment. Shared research beyond the agreed scope does not authorise an additional charge; an expansion requires a separately agreed order or variation.
A.4 Order, start and estimated time
The Customer reviews the scope, fees, shortfall risk, cancellation/refund terms and business-use declaration before expressly accepting and placing the order. Payment confirmation enables the project manager to create or attach the Network for that order; payment, a pending bank transfer, page viewing or the pre-existence of shared research does not itself start its Research stage.
Research starts for that order when the project manager uses Create Network and the service records the creation or attachment to the existing Network. We record the start time and provide a private project notification stating that research has begun, the cancellation right and the exact cancellation deadline. Reopening or refreshing the same order does not restart or extend its window. Another customer’s order has its own start and deadline.
Estimated research time is currently based on ten requested people per working day from the recorded order start, rounded up to a whole day. It is an estimate rather than a promise that all requested people exist or will be confirmed. Material delays or shortfalls are explained through the project; the agreed research and non-waivable remedies remain applicable.
A.5 Cancellation window
Cancellation is available to the Customer before research starts or within three business days after the project manager creates or attaches the Network for that order. For this window, business days are Monday–Friday, weekends are excluded and time is measured in UTC. The deadline is the same UTC time of day three business days after the recorded start. For example, a Friday start at 14:00 UTC has a Wednesday deadline at 14:00 UTC. Cancellation must be confirmed before the displayed deadline; the window is closed at that time.
Cancellation is available through Cancel research in the Research stage of My projects and requires confirmation for that order before its displayed deadline. The service checks eligibility and records the cancellation. No discretionary project-manager approval is required for an eligible cancellation. After the deadline the ordinary cancellation action is disabled and an ordinary cancellation request is unavailable. This restriction does not remove rights required by applicable law or remedies for an incorrect or duplicate charge or an objectively unperformed service.
A.6 Refunds and cancelled access
An eligible cancellation returns the Research fee in full and retains no Success fee. Any Success fee already collected, including a late receipt from an already-open checkout for the cancelled order, is also returned. The cancellation stops performance and customer delivery under that order; it does not depend on the refund having finished.
Refunds are processed to the original payment method where supported. My projects distinguishes processing, completed and failed or assistance-required refunds. A refund is complete only after the payment provider confirms it; a request or cancellation confirmation is not evidence that funds have been returned. Bank or provider posting times can follow confirmation. A processing failure does not reactivate the order or create another Success fee obligation. Refund-processing problems can be raised through the project conversation.
After the cancellation window, the Research fee is retained for the agreed research work, including where fewer people are confirmed, subject to the express performance obligations and mandatory remedies in these Terms. General wording about cancellation review in Section 7 does not replace the express Network cancellation right above. Neither this policy nor a dispute procedure removes a non-waivable statutory or payment-network right.
A.7 Shared research and independent orders
A Network is part of UHNWI Data’s shared research database, with one canonical Network for a central person. If it already exists, an order reuses it and we may extend it for the agreed scope. Create Network records that order’s start and entitlement; it does not require creation of a duplicate map. Different customers may receive differently scoped results from the same research. The Customer funds part of an ongoing research project and does not commission an exclusive Network.
Cancellation, refund, expiry or termination of one customer order applies to that order and its access only. It does not delete, roll back, freeze or transfer the shared Network, relationships, evidence, layout or research progress, and does not cancel another customer’s order. Even a Network first created while performing a cancelled order remains in the shared database. UHNWI Data may continue, update, expand and reuse its research independently, subject to applicable law and its privacy obligations.
A.8 Smaller scopes and completed results
Where the shared Network is larger than the purchased Network Size, we deliver a connected selection within the agreed additional-person limit. We prioritise stronger documented paths from Ego, taking the weakest assessed link along a path into account. Lower-strength peripheral contacts are omitted before stronger paths; at equal strength, recurring interaction is preferred to rare or dormant interaction, followed by shorter paths and a stable tie-break. An Unknown assessment remains unassessed, not a weak or zero score; assessed paths take priority. We do not infer reciprocal strength from a one-direction assessment.
Necessary company paths may be included without consuming the person quota. Reduction applies to the actual customer-visible result and does not remove underlying shared research. The completed order is a scoped snapshot: later expansion of the common Network does not automatically increase the Customer’s purchased scope or rewrite a previously completed result. Corrections, updates or an expanded scope are handled separately with the project manager, subject to the agreed service and applicable rights.
A.9 Access, licence and ownership
The completed Network becomes available in My projects after any applicable Success fee has been confirmed and the project manager has approved release. Payment alone does not release an unfinished Network. The Customer receives a limited, non-exclusive, non-transferable right to access the purchased read-only result through its authorised Account for its lawful internal business or professional purposes, subject to the Order, any stated access period and these Terms. No automatic right to future research, expanded scope, an export, an API, resale or sublicensing is included.
UHNWI Data or its licensors retain their rights in the research materials, original analysis, selection and arrangement, database compilation, taxonomies, interface and software. Research fees, Success fees and customer input do not transfer ownership or make the research an exclusive customer work. These rights do not claim ownership of underlying facts as such, third-party material, Customer Materials or a person’s personal data, and remain subject to applicable law and third-party rights. The Customer’s licence does not authorise scraping, bulk extraction, republication, redistribution, resale, bypassing scope controls or building a competing research product.
A.10 Customer contacts and privacy
Contact matching is optional and must be selected before the order is placed. Where supported and selected, the Customer may connect authorised contacts to identify people it already knows and potential routes in the delivered Network. Choosing Skip means matching and further CRM integrations cannot later be added to that order. Matching does not exclude those people from the Network, increase the research price or guarantee an introduction.
The Customer retains its rights in its supplied contact lists and must have authority and a lawful basis for supplying or connecting them. Private customer imports and matching annotations remain account-scoped and are not reused as shared Network research or another customer’s data. Processing, provider permissions, retention, deletion and individual rights are governed by the Privacy Policy and any applicable data-processing terms. An order does not itself provide a lawful basis for all downstream uses or override a research subject’s rights. Research retention under this Section is subject to those obligations.
A.11 Corrections, permitted use and records
The Customer may search, navigate and inspect its read-only result and report an apparent error through the Network to its project manager. We review substantiated correction requests in light of the source evidence and applicable rights. A displayed relationship is not permission to contact, target or disclose information about a person unlawfully. The service must not be used for harassment, stalking, discrimination, unlawful surveillance or other prohibited conduct; the general lawful-use and confidentiality rules also apply.
We retain the applicable accepted terms and order scope, recorded start and cancellation deadline, project notification, payment, cancellation and refund evidence as appropriate for service administration, disputes and legal obligations. A notification record does not by itself establish that the Customer read the message. Updates to these Terms govern future orders; an existing order retains the version it accepted unless the Customer expressly accepts a variation or a change is required under the general provisions. This Schedule does not promise immunity from disputes or override any liability or remedy that cannot lawfully be excluded.
Schedule B. Database Development Research Service
B.1 Service and qualifying profiles
Database development researches a tailored audience of unique people matching the countries, wealth, demographic filters and additional criteria expressly accepted in the Order. A billable confirmed profile must satisfy the agreed criteria and have a confirmed contact for the agreed platform use. A name, demographic match or researched person without that confirmed contact is not a completed billable profile.
The requested quantity is a research target, not permission to charge for incomplete profiles or unrelated substitutes. UHNWI Data verifies the selected audience and any agreed contact exclusions before completing the research. Profiles failing the agreed criteria, unresolved exclusions, duplicate people within the order and profiles without a confirmed contact must be corrected or omitted from the confirmed billable quantity.
A confirmed contact means that an email contact for the identified person has been checked by the operator and saved in the profile as available for the agreed platform use at the time of research completion. An empty email field or a telephone number alone does not qualify an email-audience profile. Contact information is held in protected profile records and need not be displayed or exported to the Customer. Confirmation is not a promise of a reply, consent to every proposed communication, permanent deliverability or a commercial outcome. We remain responsible for performing the agreed checks with reasonable care.
B.2 Research advance and final cost
Unless different rates are expressly agreed in the Order, the initial research advance is US$30 multiplied by the requested profile quantity. It is an advance against the final research cost, not a separate non-refundable Research fee and not a Network Success fee.
The final research cost is the confirmed qualifying profile quantity multiplied by the base rate of US$30 plus the agreed additional-criteria rates per profile. Custom criteria and their rates require express agreement before the corresponding payment. No research charge is earned for a profile excluded from the confirmed qualifying quantity.
The entire research advance, including any accepted service credit used to fund it, is deducted from the final research cost. The additional amount due is the positive difference, if any. If the advance exceeds that cost, the unused balance is returned rather than retained as a fee or automatically applied to a platform licence. A smaller delivered quantity does not by itself make a second base payment payable.
B.3 Research review, settlement and unused advance
When research is ready, My projects presents the confirmed audience and research settlement for review. A shortfall is recorded with an explanation. The Customer can raise an incorrect criterion, missing confirmed contact, duplicate or settlement error through the project before accepting the settlement. Acceptance does not waive a remedy that cannot lawfully be excluded.
Any unused cash advance is refunded through the original payment method where supported. Any unused portion funded by service credit is returned as service credit, rather than converted into a cash payment. The same funded amount is not refunded twice. The research settlement and licence are separate: an unused research advance does not reduce the stated licence price.
The refund is complete only after the payment provider confirms success. My projects records pending, completed or failed/review-required processing; a browser return, refund request or estimate is not proof that funds have been returned. Provider and bank posting times may follow confirmation. A failed refund remains due and must be resolved; it is not silently turned into a licence purchase.
This Schedule governs the unused advance on research settlement. The general Terms govern other cancellation, payment-error and dispute requests where applicable. The Network three-business-day cancellation window and its separate non-refundable fee model do not apply to Database development by default. An unperformed or non-qualifying profile cannot be charged merely by describing the advance as non-refundable.
B.4 Start, estimated timing and changes
Research starts after full payment is confirmed under the accepted Order. A pending payment, partial bank transfer, saved draft or unaccepted custom quote does not establish that the research has started. The current estimate is ten requested profiles per working day, rounded up, counted from the next working day after launch. Working days are Monday–Friday; public holidays are not excluded from this estimate.
Research time and audience availability are estimates. If fewer qualifying profiles can be confirmed, the final quantity and research cost are reduced accordingly. Additional volume, changed criteria or custom rates require agreement; they do not authorise an unannounced charge.
B.5 Platform access, contact privacy and separate licence
Research purchase and acceptance do not require purchase of a platform licence. After research settlement, the Customer may separately purchase the offered twelve-month platform licence for the confirmed audience. Any annual or monthly licence rates, term, discount, activation and use restrictions are shown and accepted separately. An advance-payment discount on a licence is distinct from the research advance.
Results are reviewed through the authenticated platform. This service does not sell or transfer a downloadable contact list: profiles and email addresses cannot be downloaded or exported. Where the separate platform licence is purchased, use through UHNWI Direct is subject to its separately accepted licence and service terms. Direct contact details become available only in the circumstances stated in that service, including when a recipient requests direct contact.
UHNWI Data and its licensors retain their rights in their research, selection, arrangement, database and software, subject to underlying facts, Customer Materials, third-party rights and applicable law. Payment grants only the agreed access and use rights, not exclusive ownership of the research. Customer contact imports and private matching decisions remain account-scoped under the Privacy Policy. The general Terms apply except where this service-specific Schedule expressly provides otherwise.
